Once per month the HOA board members meet to discuss Ironstone maintenance, planning, financials and more. To keep transparency and information available to all of our neighbors, these are the highlights as well as a link to the minutes.
March board meeting minutes were not taken as the meeting was dedicated to the agenda and planning of the annual meeting.
The Ironstone bylaws have been updated to be more detailed, adaptable, and compliant with current legal standards. Bylaws govern how the HOA operates as a business and does not greatly impact individual homeowners.
Key differences:
Article 1: Name, Principal Office, and Definitions
The updated version provides more flexibility in office location and introduces a definitions section to standardize terms.
Article 2: Association Membership, Meetings, Quorum, Voting, Proxies
The updated version adds notice methods, proxy revocation and shifts quorum to a majority to streamline quorum achievement for efficiency.
Article 3: Board of Directors: Number, Powers, Meetings
This update expands Board size to 3-9, with detailed nomination/election processes, specific rules and adds electronic participation, open meetings, and duties.
Article 4: Officers
The updated version clarifies officer roles and adds procedural safeguards.
Article 5: Committees
The updated bylaws streamline dispute resolution by formalizing the Covenants Committee, reducing ad-hoc decision-making.
Article 6: Miscellaneous
The updated version enhances efficiency and legal compliance.
Other Notable Addition
Includes management standards (Article 3.20), borrowing rules (Article 3.21), and indemnification (Article 6.2 in current, expanded in updated), reflecting a focus on financial oversight and liability protection.
